Job Description
- · Managing independently the listing compliance.
- · Conduction of Board and General Meeting of Listed entity.
- · To perform the activities for Group Companies for compliance of Companies Act, 1956.
- · Filings of Statutory Forms with Ministry of Corporate Affairs.
- · Maintenance of Statutory Registers & Records as per applicable Laws (Companies Act, 1956) including minutes of the Board Meetings, Committee Meetings and General Meetings.
- · Preparation of Notice, Directors Report and Annual Return for Group Companies.
- · Co-ordination and follow ups with Statutory Authorities.
- · Compliance of Insider Trading Regulations.
- · Preparing Notice for Closing of Insider Trading window.
- · Make check for Pre- Clearance of Trade.
- · Follow up for all mandatory Disclosures under Insider Trading Code.
- · To manage secretarial activities wrt to acquisition of Companies.
- Approval from Stock Exchanges for Employee Stock Option Scheme.
