About Business Control and
Delivery
The Business Delivery and Control department incorporates
both business & functional delivery. The 4 core functional pillars are
Business & Platform, Client Service & Digital, Control and Product
(encompassing Banking, Credit & Investments)

solutions and support across the client lifecycle for all our platforms

Delivery of the banking, credit
& investment product and capability to service PB&OS client type

Overall purpose of role
The role is an important one to ensure compliance with all
corporate law requirements applicable to the legal entities whose
governance is managed by Wealth India.
Key Accountabilities
Handling corporate law and secretarial matters
·
Preparation and maintenance of
various statutory records and registers, such as registers of members,
directors, etc;
·
Conducting statutory meetings and
preparation of agenda folders and minutes of the Meetings;
·
Preparation and filing of forms,
returns and other documents under the Companies Act;
·
Examining and vetting all matters
having corporate law and governance implications and advising the
management on the said matters;
·
Advising directors about their
legal responsibilities; and
·
Developing and overseeing the
systems that ensure that the company complies with all applicable codes, as
well as its legal and statutory requirements.
Compliance
·
Complying with the following:
o Companies Act;
o Secretarial Standards;
o Listing agreement, if any, executed with the stock
exchanges;
o Any other regulations relating to corporate secretarial
matters.
·
Monitoring changes in relevant
legislation and the regulatory environment and interpret their application
to the business and operations of the Company;
·
Complying with the Company’s
Group policies relating to Secretarial, Directors, Governance, etc.
Company Representation
·
Dealing with correspondence,
collating information and writing reports, ensuring decisions made are
communicated to the relevant company stakeholders.
·
Liasioning with the following:
o Shareholders of the company
o Various regulators namely Ministry of Corporate Affairs,
stock exchanges, depositories, etc.
o Lawyers;
o Statutory auditors.
·
Preparation of Annual Reports
·
Assist & advise management in
the course of defending, prosecuting, and settling of legal proceedings on
behalf of the Company, relating to secretarial.
Governance of WIM India
·
Risk Forums: Preparation &
Circulation of Deck, Circulate Minutes and track actionable of Risk Forums
for WIM India legal Entities
·
Connect with the Global /
Regional team for project and change in policies / process
·
Provide data for various forum /
Global reporting for WIM India Risk & Controls
·
Work closely with local
management on projects and other control initiatives
·
Work closely with all other risk
support areas in the delivery of comprehensive and co-ordinate risk support
to the Wealth Advisory Business.
Participate in the forums and provide inputs from Fiduciary
risk.
Stakeholder Management and Leadership
The role holder will interact regularly with Business and
Support Functions.
The role holder is also required to engaging with External
Audit, BIA, Internal Assurance and Testing Functions, in support of audit
and testing.
Decision-making and Problem Solving
Assist company secretarial and governance team in addressing
day-to-day support required.
Ensuing compliances with company’s act and governance for
WIM India.
Risk and Control Objective
Ensure that all activities and duties are carried out in
full compliance with regulatory requirements, Enterprise Wide Risk
Management Framework and internal Barclays Policies and Policy Standards
Person Specification

Minimum Education: CS / Degree in
Law
·
Company Secretary experience
·
Knowledge of company secretarial
issues, documentation and due diligence, statutory compliance and audits
etc.
·
Understanding of the business
·
Knowledge of the Industry
