Duff and Phelps is looking at an Analyst – Corporate Paralegal who will collaborate closely with our attorneys and internal firm services colleagues, business colleagues, outside counsel and vendors, assisting with the management of documents, invoices, e-billing, filings, records and information associated with corporate entity maintenance, discovery, the contracting and proposal processes, and corporate transactions. The role is required to possess a high degree of responsibility, energy, intelligence and maturity. You will perform assigned tasks with accountability, independence, judgment and meticulousness. The role will focus primarily on the following four main subject matter areas; corporate governance, subpoenas and litigation, legal technology and transactions.

Responsibilities: 
  • Serve as the main custodian for corporate records and minute books, including annual entity management and ad-hoc requests (i.e. annual meetings, director & officer appointments). 
  • Work with outside vendors and internal firm service groups to assist with corporate filings, such as annual returns, secretary of state and business license filings. 
  • Assist with the preparation, execution and maintenance of documents associated with corporate transactions and the global D&P corporate structure. 
  • Assist with information requests (i.e. RFPs related to client engagements) and maintain responsibility for the filing of contracts. 
  • Serve as the key execution resource for invoice and law firm payables management through our e-billing system.
  • Managing responses to discovery requests, including managing the preservation and hold order process, working with counsel, business colleagues and technology department colleagues to conduct collection and production of responsive materials. 
  • Manage hold order catalogue to ensure continued compliance with timelines. 
  • Collaborate with internal firm service groups (i.e. IT, Human Capital) and technology vendors to establish tracking systems for custodians and automated hold order tracking. 
  • Assist with execution and maintenance of companywide policies and procedures related to discovery responses.
  • Assist in implementing and improving the Legal Department’s use of technology. 
  • Leverage technology to increase productivity, response time and efficiency of the group.
  • Perform file management and maintenance.
  • Assist in the documentation processes for co-investment opportunities.
  • Liaise with D&P finance organization to handle local regulatory compliance issues related to merchant banking entity and other India entities.
  • Handle local policy related compliance certifications and policies.
 Requirements:
  • Bachelor’s degree in a law or business related field with Company Secretary education preferred
  • Strong PC Skills, Microsoft Office applications
  • Experience with discovery processes and associated technology platforms, including ESI searches and other e-discovery tools.
  • Familiarity with and understanding of corporate records, such as certificates of formation, operating agreements, minutes and resolutions.
  • Ability to work independently and efficiently in a fast-paced environment
  • Must be capable of operating in tandem with colleagues in a highly collaborative fashion and execute assigned tasks with precision, thoughtfulness and attention to detail. 
  • Strong verbal and written communication skills
